Terms of Service

Mediasphere is a cloud-based platform for managing creative operations: creative requests, briefs, projects, asset and version management, review and approval workflows, brand guidelines, agency and talent collaboration, external sharing, publishing calendars, and AI-assisted features.

• You must be at least 16 years old and legally capable of entering into contracts
• Accounts are organization-based; your access is governed by the role assigned to you (Owner, Admin, Member, Viewer, or Guest)
• You are responsible for the accuracy of information you provide and the security of your credentials
• We may modify, add, or discontinue features at any time; beta features are provided without commitment

Your Content

• You and your organization retain all ownership of content you upload
• You grant us a limited, non-exclusive license to host, store, process, transmit, and display your content solely to operate and provide the service
• You are solely responsible for ensuring you hold all necessary rights, licenses, talent releases, music rights, and usage clearances for content you upload, share, approve, or publish through the platform

Our Platform

We own all rights to the platform, including its software, design, and branding. Feedback you provide may be used to improve the service without obligation to you.

• AI features (tagging, brand compliance checks, brief generation, performance prediction, content suggestions, AI agents) are assistive tools only and may produce inaccurate, incomplete, or biased output
• AI output is not professional, legal, financial, or compliance advice; you must independently verify all AI-generated results before relying on them
• AI compliance or brand checks do not constitute legal clearance of any creative work
• We are not liable for any decision made, action taken, or content published in reliance on AI output

You agree not to:

• Upload unlawful, infringing, defamatory, or harmful content
• Violate the intellectual property, privacy, or publicity rights of others
• Attempt to breach, probe, or circumvent security or usage limits
• Reverse engineer the platform or use it to build a competing product
• Distribute malware, spam, or use the service for any unlawful purpose
• Share account credentials or resell access to the service

We may suspend or terminate accounts that violate this policy, with immediate effect for serious violations.

Plans & Billing

• Paid plans (Starter, Professional, Scale, Enterprise) are billed in advance via Stripe; current pricing, user limits, and storage quotas are shown on our pricing page and at checkout
• Plan limits (users, storage, brands, features) are enforced by the platform; storage add-ons may be purchased separately
• Prices may change with at least 30 days notice; changes apply from your next billing cycle
• If payment fails, your account may be placed in a past-due state and eventually downgraded to read-only access after the dunning period

Cancellation & Refunds

• Every plan starts with a 14-day free trial — no credit card required during the trial period
• You may cancel any time from Settings → Billing via the Stripe billing portal; access continues until the end of the paid period
• Except where required by law, fees are otherwise non-refundable
• Storage add-ons are non-refundable once allocated
• Refunds, where applicable, are returned to the original payment method, typically within 5–10 business days

• We take commercially reasonable measures to protect and back up platform data, but we do not guarantee against data loss — you are responsible for maintaining your own backups of critical assets
• Deleted items are recoverable from Trash for 30 days, after which they are permanently purged and cannot be recovered
• We strive for high availability but do not guarantee uninterrupted, error-free operation; maintenance, third-party outages (e.g. hosting, storage, payment, AI providers), and events beyond our control may affect the service
• Upon account deletion, you may export a complete backup of your data before all records and files are permanently erased

The service depends on third-party providers, including Stripe (payments), Google (sign-in), Cloudflare (storage), email delivery providers, AI model providers, and Base44 (hosting). We are not responsible for the acts, omissions, or outages of third-party services, and your use of them may be subject to their own terms.

The service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or that the service will be uninterrupted, secure, or error-free. No advice or information obtained from us or through the service creates any warranty not expressly stated in these Terms.

To the maximum extent permitted by law: (a) in no event will we be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost goodwill, business interruption, or cost of substitute services, even if advised of the possibility of such damages; (b) our total aggregate liability for all claims arising out of or relating to the service or these Terms will not exceed the amounts you paid to us in the twelve (12) months preceding the event giving rise to the claim, or one hundred US dollars (USD $100) if you have paid nothing; (c) these limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if a remedy fails of its essential purpose.

Some jurisdictions do not allow certain exclusions or limitations; in those jurisdictions, our liability is limited to the greatest extent permitted by law.

You agree to defend, indemnify, and hold harmless Mediasphere and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your content, including any claim that it infringes or misappropriates third-party rights or violates law; (b) your use or misuse of the service; (c) your violation of these Terms; or (d) your violation of any rights of another person or entity, including talent, music, or licensing rights related to content managed through the platform.

• You may stop using the service and delete your account at any time (Settings → Delete Account)
• We may suspend or terminate access for breach of these Terms, non-payment, unlawful activity, or risk to the platform or other users
• Upon termination, your right to use the service ends; sections that by their nature should survive (including IP, disclaimers, limitation of liability, and indemnification) survive termination

• Before formal proceedings, contact us at legal@mediasphere.ai — most disputes can be resolved informally
• Any dispute will be resolved by binding individual arbitration, and you waive the right to participate in class actions or collective proceedings to the extent permitted by law
• These Terms are governed by the laws of the jurisdiction in which Mediasphere is established, without regard to conflict-of-law principles

• We may update these Terms; for material changes we will provide at least 30 days notice via email or in-app notice. Continued use after the effective date constitutes acceptance
• If any provision is found unenforceable, the remainder of the Terms remains in effect
• Our failure to enforce any provision is not a waiver of it
• These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the service
